1. Acceptance of Terms

By accessing or using Recast ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Recast provides tools to localize product and marketing video for different markets, including speech localization, optional presenter adaptation, lip-sync alignment, subtitles, and platform-oriented exports. Our Service may include:

• Browser-based free helpers (subtitle conversion, audio extract, resize, and similar tools) that run locally on your device
• Cloud localization jobs (speech, presenter, lip-sync, subtitles, compose) when those features are available
• Account, waitlist, and billing features as they launch

The Service uses third-party AI and infrastructure providers to perform localization. We do not own or operate every underlying model. Features may change while the product is in pre-launch or early access.

Underlying models we use (subject to change as the product evolves):

• Speech recognition (ASR): Alibaba Cloud Model Studio / DashScope Paraformer and Qwen-Audio file transcription
• Translation & rewrite: Alibaba Cloud Qwen LLMs (e.g. qwen3.8-flash / qwen-max)
• Speech synthesis (TTS) & voice clone: MiniMax Speech (speech-2.8-hd / speech-2.8-turbo, voice-clone)
• Lip-sync: Kling Lip-Sync (Kuaishou) face identify + lip-sync video APIs
• Optional presenter / video adaptation: Wan 3.0 (Alibaba), MiniMax Hailuo, Seedance (ByteDance) when those features are enabled
• Infrastructure: Vercel (compute), Cloudflare R2 (media), Supabase (auth & job data); local compose via FFmpeg

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old to use the Service. By creating an account or joining the waitlist, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you use Recast for a company, you represent that you have authority to bind that company.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.

3.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. Pricing, Credits, and Payments

4.1 Pre-Launch / Waitlist

While Recast is on a waitlist or in free early access, no charges are collected unless we clearly state otherwise. Joining the waitlist does not guarantee access or pricing.

4.2 Paid Jobs and Credits

When paid localization launches, we may bill in source-video minutes and/or an internal credit system. Costs are shown before a job runs after we probe duration and scope. You authorize our merchant-of-record payment processor to charge your payment method. We do not store your full payment card information. Prices are subject to change with notice.

4.3 Quote Before Run

Where offered, we will probe the source video, present a quote, and start a paid job only after you confirm. Upstream AI fees may be incurred if you confirm a job that later fails for reasons outside our control; see the Refund Policy for automatic returns on technical failures.

4.4 No Refunds for Completed Work

Fees for successfully completed jobs are non-refundable except as required by law or as specified in our Refund Policy. Credits or fees for failed jobs may be returned as described in the Refund Policy.

5. Your Content and Rights

5.1 Your Materials

You retain ownership of videos, audio, images, scripts, and other materials you upload or process ("Your Content"). You grant us a limited license to store, display, and process Your Content solely to provide the Service to you. Subject to these Terms and payment of applicable fees, you own the localized outputs we generate from Your Content ("Outputs"), and you may use them for lawful purposes, including commercial use.

5.2 Rights You Must Hold (Presenter / Likeness)

You may only process content that consists of (a) AI-generated people, or (b) real people for whom you have clear, documented consent and all necessary rights for commercial localization and advertising. We do not provide face-swap or synthetic likeness of real persons without authorization. See the Acceptable Use Policy.

5.3 Third-Party Provider Terms

Outputs depend on third-party AI and infrastructure providers and may be subject to those providers' terms. You are responsible for reviewing and complying with requirements that apply to models and workflows used for your jobs.

5.4 Intellectual Property

The Service, including its design, features, software, and branding, is owned by Recast and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our written permission.

6. Acceptable Use Policy

6.1 Prohibited Content

You agree not to use the Service to upload, process, or distribute content prohibited by our Acceptable Use Policy, including:

• Pornographic, sexually explicit, nude, or other NSFW material
• Graphic violence, gore, or content that promotes real-world violence
• Hate speech or discriminatory content targeting protected groups
• Child sexual abuse material (CSAM), sexualized minors, or any content that exploits or endangers children
• Non-consensual deepfakes, deceptive impersonation, or misuse of another person's identity or likeness
• Material that infringes copyrights, trademarks, publicity rights, privacy rights, or other third-party rights
• Other illegal, fraudulent, abusive, or dangerous content or activity

6.2 Prohibited Activities

You agree not to:

• Attempt to circumvent any security features or access controls
• Use automated tools (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers
• Share your account credentials with others
• Resell or redistribute credits or access to the Service
• Reverse engineer or attempt to extract source code from the Service

6.3 Platform Disclosure

Where platforms require AI-content disclosure (for example Meta or TikTok ad formats), you are responsible for including the required labels. We may provide helpers later; the obligation remains yours.

6.4 Enforcement

We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

7. Service Availability and Modifications

7.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

7.2 Provider Availability

Localization steps depend on third-party speech, voice, and video providers and may become unavailable, deprecated, or replaced at any time. We may add, remove, or modify available pipelines without prior notice.

7.3 Service Modifications

We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

8. Disclaimers and Limitations of Liability

8.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8.2 Machine-Generated Localization Disclaimer

Localization outputs are machine-generated and may contain errors, inaccuracies, timing issues, or unexpected visual results. We do not guarantee the quality, accuracy, or suitability of Outputs for any particular purpose. You are solely responsible for reviewing and verifying Outputs before publishing, including advertising disclosures required by Meta, TikTok, and other platforms.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECAST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Recast and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Content and Outputs; (c) your violation of these Terms; or (d) your violation of any rights of another party, including publicity and likeness rights.

10. Termination

10.1 Termination by You

You may stop using the Service at any time and, where accounts exist, terminate your account through account settings. Upon termination, you may lose access to account-stored job history and outputs.

10.2 Termination by Us

We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service immediately ceases, and we may delete your account and stored content.

10.3 Effect of Termination

Unused credits are forfeited upon termination and are non-refundable, except as required by law. Sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the applicable laws that apply to the Service and to the parties, without regard to conflict-of-law principles where such exclusion is permitted.

11.2 Informal Resolution and Proceedings

Before initiating formal proceedings, you agree to contact agent@recastvideo.com and attempt to resolve the dispute in good faith for at least 30 days. If the dispute remains unresolved, either party may pursue remedies available under applicable law before a court or tribunal with competent jurisdiction.

11.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and Recast individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Recast regarding the Service.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
